Terms of Service

1. Agreement

These Terms of Service (“Terms”) are a binding agreement between you and Visabi Technologies Private Limited (“Visabitech”, “we”, “us”), a company incorporated in India with its registered office at C5-704, SRS Residency, Sector-88, Faridabad, Haryana 121002, India. They govern your access to and use of the vERP mobile and web applications and related services (the “Service”). If you use the Service on behalf of an organisation, you confirm you are authorised to accept these Terms for that organisation.

2. Who may use the Service

The Service is business software made available to organisations that hold a valid subscription or licence from Visabitech, and to the authorised users those organisations provision. You may use the Service only with an account issued to you by your organisation and only for that organisation's internal business purposes. The Service is not intended for consumers or for personal use.

3. Licence

Subject to these Terms and your organisation's active subscription, we grant you a limited, non-exclusive, non-transferable, revocable licence to install and use the app on a device you own or control, solely to access the Service. This licence does not transfer any ownership of the app or the Service to you.

4. Acceptable use

You agree not to: (a) copy, modify, reverse-engineer, decompile or attempt to extract the source code of the app except to the extent this restriction is prohibited by law; (b) access accounts, data or areas of the Service you are not authorised to use; (c) interfere with or disrupt the Service or its security; (d) use the Service to store or transmit unlawful, infringing or malicious content; or (e) resell, sublicense or make the Service available to third parties outside your organisation.

5. Accounts and security

Your account is administered by your organisation. You are responsible for keeping your credentials confidential and for activity under your account. The app offers device-level protections (such as biometric unlock and session timeouts); you are responsible for the security of the device on which you use the app. Notify your organisation's administrator immediately of any unauthorised use.

6. Your data and privacy

Business data you enter and view belongs to your organisation, which controls it. Our handling of information is described in our Privacy Policy, which forms part of these Terms.

7. Intellectual property

The Service, the app, and all related software, content, trademarks and design are owned by Visabitech or its licensors and are protected by law. Except for the limited licence in Section 3, no rights are granted to you.

8. Availability, updates and changes

We aim to keep the Service available but do not guarantee uninterrupted access. We may update, modify, suspend or discontinue features from time to time, and may release app updates that you may need to install to keep using the Service. We may update these Terms; material changes will be reflected by updating the “Last updated” date above.

9. Disclaimers

To the fullest extent permitted by law, the Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. You are responsible for verifying outputs (including tax and statutory calculations and filings) before relying on them.

10. Limitation of liability

To the fullest extent permitted by law, Visabitech will not be liable for any indirect, incidental, special or consequential damages, or for loss of profits, data or business, arising out of or relating to the Service. Our total liability for any claim relating to the Service is limited to the amount paid for the Service by your organisation in the twelve months preceding the claim.

11. Termination

Your right to use the Service ends when your organisation's subscription ends or when your account is deactivated. We may suspend or terminate access for breach of these Terms. Provisions that by their nature should survive termination (including Sections 7, 9, 10 and 13) will survive.

12. App store terms

Where you obtain the app from Google Play, the Apple App Store or another app store or distribution platform, your use is also subject to that store's own terms of service and usage rules, in addition to these Terms.

If you download the app from the Apple App Store, the following additional terms apply and, where they conflict with the rest of these Terms in respect of App Store use, they prevail:

• These Terms are between you and Visabitech only, not with Apple. Apple is not responsible for the app or its content.
• The licence granted is limited to a non-transferable licence to use the app on any Apple-branded device you own or control, as permitted by the App Store Usage Rules.
• Maintenance and support for the app is our responsibility, not Apple's. Apple has no obligation to furnish any support.
• To the extent permitted by law, Apple provides no warranty for the app; if the app fails to conform to any applicable warranty, you may notify Apple and Apple may refund the purchase price (if any); Apple has no other warranty obligation.
• Apple is not responsible for addressing any claims relating to the app, including product-liability, legal/regulatory, or consumer-protection claims, or third-party intellectual-property claims.
• You represent that you are not located in a country subject to a U.S. Government embargo or designated as “terrorist-supporting”, and are not on any U.S. Government restricted-parties list.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

13. Governing law

These Terms are governed by the laws of India, and the courts at our registered place of business will have jurisdiction, without prejudice to any mandatory consumer or data-protection protections available to you under local law.
